Terms of Service

Welcome to SearchBoost Digital. These Terms of Service ("Terms") govern your access to and use of our website, services, and digital marketing solutions. By engaging with SearchBoost Digital, you agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By accessing our website, submitting inquiries, or entering into a service agreement with SearchBoost Digital, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, along with our Privacy Policy and Refund Policy. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

These Terms constitute a binding legal agreement between you (the "Client") and SearchBoost Digital (the "Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time without prior notice. Continued use of our services following any changes constitutes acceptance of the revised Terms.

2. Service Descriptions

SearchBoost Digital provides performance-driven digital marketing services including, but not limited to:

  • SEO Strategy & Consulting: Comprehensive search engine optimization audits, competitor analysis, keyword research, and strategic roadmap development tailored to client business objectives.
  • Technical SEO: Website architecture optimization, Core Web Vitals enhancement, schema markup implementation, crawl budget optimization, indexation management, and server-side performance tuning.
  • On-Page SEO: Meta tag optimization, internal linking structure development, content optimization, semantic HTML improvements, and user experience enhancements designed to improve search rankings.
  • Content Marketing & SEO Content Production: Research-driven content strategy, topic cluster development, E-E-A-T signal integration, editorial content creation, and conversion-focused copywriting.
  • Link Building & Digital PR: White-hat backlink acquisition, editorial outreach campaigns, digital public relations initiatives, and domain authority growth strategies.
  • Local SEO & Google Business Profile Management: Local search optimization, Google Business Profile setup and management, citation building, review generation strategies, and local pack ranking improvements.
  • Paid Traffic Support: Strategic integration of paid search campaigns with organic SEO initiatives, landing page optimization, keyword intelligence sharing, and multi-channel attribution modeling.

All services are customized based on individual client needs, business goals, and market conditions. Service scope, deliverables, timelines, and pricing are defined in individual service agreements or statements of work executed separately from these Terms.

3. Client Obligations and Responsibilities

3.1 Information Accuracy

Clients agree to provide accurate, complete, and up-to-date information required for service delivery. This includes but is not limited to website access credentials, analytics account permissions, business information, target audience data, and competitive intelligence. Failure to provide accurate information may result in delays, suboptimal results, or additional fees.

3.2 Website Access and Technical Cooperation

Clients must grant SearchBoost Digital appropriate access to websites, content management systems, hosting environments, analytics platforms, and third-party tools necessary for service execution. Clients are responsible for ensuring that their website infrastructure, hosting environment, and platform configurations support the implementation of recommended optimizations.

3.3 Compliance with Guidelines

Clients agree to comply with all applicable search engine guidelines, including Google's Webmaster Guidelines and other platform-specific policies. SearchBoost Digital employs only white-hat, ethical SEO practices. Clients must not engage in black-hat tactics, spammy link schemes, keyword stuffing, cloaking, or any practices that violate search engine terms of service, either independently or through third-party vendors, during the term of engagement.

3.4 Content Approval and Brand Guidelines

Clients retain final approval authority over all published content, creative assets, and public-facing communications. Clients must provide brand guidelines, legal disclaimers, compliance requirements, and approval processes in a timely manner to avoid project delays.

4. Service Delivery and Performance

4.1 No Guaranteed Rankings

Search engine optimization is an ongoing, iterative process influenced by numerous external factors including algorithm updates, competitive activity, market dynamics, and platform policy changes. While SearchBoost Digital employs industry-leading methodologies and data-driven strategies, we do not guarantee specific search engine rankings, traffic volumes, conversion rates, or revenue outcomes. Any projections, forecasts, or case study results shared are illustrative examples and not guarantees of future performance.

4.2 Timeline Expectations

SEO results typically require 3–6 months to materialize, with compounding improvements over time. Timelines vary based on website authority, competitive landscape, industry vertical, and historical optimization efforts. Technical implementations may show faster results, while content and link-building initiatives require longer time horizons.

4.3 Algorithm Updates and External Changes

SearchBoost Digital continuously monitors search engine algorithm updates and adjusts strategies accordingly. However, we are not liable for ranking fluctuations, traffic declines, or performance impacts resulting from search engine algorithm changes, competitor actions, or third-party platform modifications beyond our control.

4.4 Third-Party Dependencies

Certain services rely on third-party platforms including Google Analytics, Google Search Console, SEO tools, content management systems, and hosting providers. Service delivery may be affected by third-party outages, policy changes, API limitations, or access restrictions. SearchBoost Digital is not responsible for third-party service interruptions or data loss.

5. Payment Terms and Billing

5.1 Pricing and Invoicing

Service fees are outlined in individual proposals, service agreements, or statements of work. Pricing may be structured as monthly retainers, project-based fees, hourly rates, or performance-based arrangements as agreed in writing. Invoices are issued according to the billing schedule specified in the service agreement.

5.2 Payment Deadlines

Payment is due within the timeframe specified on each invoice, typically within 15 days of invoice date unless otherwise agreed. Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. Services may be suspended for accounts with overdue balances exceeding 30 days.

5.3 Taxes and Additional Fees

All fees are exclusive of applicable sales taxes, VAT, GST, or other governmental charges, which will be added to invoices where required by law. Clients are responsible for any bank fees, wire transfer charges, or currency conversion costs associated with payments.

5.4 Refunds and Cancellations

Refund eligibility and cancellation terms are governed by our separate Refund Policy. Monthly retainer services typically require 30 days' written notice for cancellation. Project-based work is generally non-refundable once initiated. Refer to our Refund Policy for complete details.

6. Intellectual Property Rights

6.1 Client-Owned Materials

Clients retain all ownership rights to pre-existing intellectual property, including trademarks, brand assets, proprietary data, and original content provided to SearchBoost Digital. Clients grant SearchBoost Digital a limited, non-exclusive license to use such materials solely for the purpose of delivering contracted services.

6.2 Work Product Ownership

Upon full payment of all fees, clients receive ownership of custom deliverables specifically created for their project, including written content, custom graphics created exclusively for the client, and campaign-specific materials. SearchBoost Digital retains ownership of methodologies, processes, templates, tools, proprietary software, analytics frameworks, and reusable resources developed independently or used across multiple clients.

6.3 Portfolio and Case Study Rights

SearchBoost Digital reserves the right to showcase client work in portfolios, case studies, marketing materials, and on our website unless explicitly prohibited in writing. Clients may request anonymization of case studies or confidential treatment of specific projects.

6.4 Third-Party Assets

SearchBoost Digital may utilize third-party stock photography, fonts, software, and tools in service delivery. Clients are responsible for obtaining appropriate licenses for any third-party assets they wish to use beyond the scope of our engagement.

7. Confidentiality and Data Protection

7.1 Confidential Information

Both parties agree to maintain the confidentiality of proprietary information, trade secrets, business strategies, customer data, and sensitive materials disclosed during the engagement. Confidential information may only be used for purposes directly related to service delivery and may not be disclosed to third parties without prior written consent.

7.2 Data Security

SearchBoost Digital implements industry-standard security measures to protect client data, including encrypted communications, secure password management, and access controls. However, no method of electronic transmission or storage is 100% secure. Clients acknowledge the inherent risks of internet-based communications and data storage.

7.3 Privacy Compliance

SearchBoost Digital processes personal data in accordance with applicable privacy laws including GDPR, CCPA, and other regional regulations. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

8. Limitation of Liability

8.1 Indirect Damages Exclusion

To the maximum extent permitted by law, SearchBoost Digital shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or reputational harm, arising from or related to our services, even if advised of the possibility of such damages.

8.2 Liability Cap

SearchBoost Digital's total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by the client to SearchBoost Digital in the six (6) months immediately preceding the event giving rise to liability.

8.3 Force Majeure

SearchBoost Digital is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, third-party service failures, or other force majeure events.

9. Warranties and Disclaimers

9.1 Professional Standards

SearchBoost Digital warrants that services will be performed in a professional manner consistent with industry standards and best practices. We employ qualified personnel and maintain up-to-date knowledge of search engine optimization techniques and digital marketing strategies.

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, SEARCHBOOST DIGITAL PROVIDES SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SearchBoost Digital does not warrant that services will be uninterrupted, error-free, or meet specific business objectives. We do not guarantee compatibility with all platforms, browsers, or devices, nor do we warrant that our services will result in specific search rankings, traffic levels, or business outcomes.

10. Indemnification

Client agrees to indemnify, defend, and hold harmless SearchBoost Digital, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Client's breach of these Terms or any applicable laws or regulations
  • Client's website content, products, or services
  • Infringement of third-party intellectual property rights by client-provided materials
  • Client's use of deliverables in a manner inconsistent with our recommendations or outside the agreed scope
  • Claims arising from client's business operations, products, or services

11. Term and Termination

11.1 Service Term

The term of service begins upon execution of a service agreement and continues for the duration specified therein. Monthly retainer agreements typically renew automatically on a month-to-month basis unless terminated in accordance with these Terms.

11.2 Termination for Convenience

Either party may terminate monthly retainer services with 30 days' written notice. Project-based engagements may only be terminated as specified in the individual service agreement. Early termination does not entitle clients to refunds for services already rendered or fees already paid.

11.3 Termination for Cause

Either party may terminate the agreement immediately if the other party materially breaches these Terms and fails to cure such breach within 15 days of written notice. SearchBoost Digital may terminate immediately if client engages in fraudulent activity, violates search engine guidelines, or fails to pay undisputed invoices.

11.4 Effect of Termination

Upon termination, client shall immediately pay all outstanding fees for services rendered through the termination date. SearchBoost Digital will provide copies of deliverables completed and paid for prior to termination. Each party shall return or destroy confidential information belonging to the other party unless retention is required by law.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiations. Either party may initiate negotiations by providing written notice describing the dispute in detail.

12.2 Mediation

If informal negotiations do not resolve the dispute within 30 days, the parties agree to participate in non-binding mediation before a mutually acceptable mediator. Mediation costs shall be shared equally between the parties.

12.3 Arbitration

If mediation does not resolve the dispute, the parties agree to submit the matter to binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Arbitration shall take place in Lexington, Kentucky, unless otherwise agreed. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek equitable relief in court to protect intellectual property rights, prevent disclosure of confidential information, or enforce payment obligations without first pursuing mediation or arbitration.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Jessamine County, Kentucky, and each party irrevocably consents to the jurisdiction and venue of such courts.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms, together with any executed service agreements, statements of work, Privacy Policy, and Refund Policy, constitute the entire agreement between the parties and supersede all prior or contemporaneous negotiations, discussions, agreements, or understandings relating to the subject matter hereof.

14.2 Amendments

SearchBoost Digital reserves the right to modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated to active clients via email. Continued use of services following such notice constitutes acceptance of the modified Terms.

14.3 Assignment

Client may not assign, transfer, or delegate any rights or obligations under these Terms without SearchBoost Digital's prior written consent. SearchBoost Digital may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.

14.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

14.5 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any provision shall not constitute a waiver of the right to enforce such provision or any other provision in the future.

14.6 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between the parties. Neither party has authority to bind the other or to incur obligations on the other's behalf without prior written consent.

14.7 Notices

All notices required or permitted under these Terms shall be in writing and delivered via email to the addresses specified in the service agreement, or by certified mail to the physical addresses listed in this document. Notices are deemed received upon email delivery confirmation or three business days after mailing.

14.8 Survival

Provisions relating to confidentiality, intellectual property, limitation of liability, indemnification, dispute resolution, and any payment obligations shall survive termination or expiration of these Terms.
